Please read these terms carefully before engaging Innova Socials. By commissioning our services, you agree to the following terms and conditions.

1. Parties & Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Innova Socials ("the Agency," "we," "us," or "our") and the individual or business entity ("the Client," "you," or "your") engaging our services. By signing a service agreement, paying an invoice, or otherwise commissioning work from Innova Socials, you confirm that you have read, understood, and agreed to these Terms in full.

2. Services Provided

Innova Socials provides social media marketing, content creation, platform management, paid advertising, and performance analytics services as set out in your individual service agreement or retainer confirmation. The specific deliverables, platforms, posting frequency, and scope of work will be confirmed in writing prior to commencement. Any services not explicitly included in your agreed scope are not covered by the retainer and may be subject to additional fees.

We reserve the right to subcontract elements of the service delivery to trusted third parties, provided that the quality and confidentiality of your work are maintained to our standard.

3. Performance-Based Retainers & Payment Terms

All ongoing services are provided under a Performance-Based Retainer model. Retainer fees are payable monthly in advance via bank transfer or approved payment method. Invoices are issued on the 1st of each calendar month and are due within 7 days of issue.

Late payment beyond 14 days may result in a temporary pause of all active services. Innova Socials reserves the right to charge statutory interest on overdue invoices at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

All fees are quoted exclusive of VAT where applicable. VAT will be added to invoices at the prevailing rate when Innova Socials is VAT registered.

4. The Free 30-Day Campaign

The Free 30-Day Campaign is offered at our sole discretion to a maximum of four businesses simultaneously. Participation does not constitute a contract or any obligation to purchase paid services thereafter. We reserve the right to withdraw the free campaign offer at any point prior to commencement.

Content created during the Free 30-Day Campaign remains the intellectual property of Innova Socials until a paid retainer is entered into, at which point full ownership of approved published content transfers to the Client. Unpublished assets and strategy documents produced during the trial period remain the property of Innova Socials unless otherwise agreed in writing.

By accepting the Free 30-Day Campaign, you grant Innova Socials the right to use performance metrics and anonymised results data from the trial for internal reporting, case study development, and marketing purposes.

5. Content Approval & Client Responsibilities

All content produced by Innova Socials is subject to client approval before publication. You will be provided with a shared content calendar and given a minimum of 48 hours to review and approve scheduled content. Failure to respond within this window will be treated as approval, and content may be published accordingly.

You are responsible for ensuring that all information, product descriptions, pricing, and promotional claims contained within content you approve are accurate, lawful, and compliant with applicable advertising standards (including ASA guidelines). Innova Socials accepts no liability for content approved by the Client that is subsequently found to be misleading, inaccurate, or in breach of applicable regulations.

You agree to provide timely access to brand assets, photography, account credentials, and any information reasonably required to fulfil the agreed scope of services. Delays caused by the Client's failure to provide required materials may affect delivery timelines, for which Innova Socials accepts no liability.

6. Intellectual Property

Upon receipt of full payment for a given month's retainer, all approved and published content created by Innova Socials on behalf of the Client — including photography, video footage, captions, and graphics — becomes the property of the Client for use across their own platforms.

Innova Socials retains the right to use published content, performance data, and campaign results in portfolio presentations, agency marketing materials, and case studies, unless the Client explicitly requests otherwise in writing. Client-specific strategy documents, competitor analysis reports, and proprietary frameworks remain the intellectual property of Innova Socials at all times.

You warrant that all materials provided to us for use in content creation (including logos, images, and branding) are owned by you or properly licensed, and that their use does not infringe any third-party intellectual property rights. You agree to indemnify Innova Socials against any claims arising from such infringement.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of the engagement, including business strategies, pricing, client lists, and operational details. This obligation survives termination of the service agreement.

Innova Socials will not disclose Client-specific information to third parties without prior written consent, except where required by law or to subcontractors operating under equivalent confidentiality obligations.

8. Paid Advertising & Ad Spend

Where paid advertising management is included in the agreed scope, the Client is responsible for funding their advertising accounts directly (e.g. via Meta Business Manager or Google Ads). Ad spend budgets are separate from and in addition to Innova Socials' management fees.

Innova Socials will recommend and manage ad spend in good faith based on available data and industry best practice. However, we make no guarantee of specific advertising results, return on ad spend (ROAS), or campaign performance. All paid media recommendations are made to the best of our professional judgement and are subject to platform algorithm changes, auction dynamics, and market conditions outside our control.

9. Limitation of Liability

Innova Socials will use reasonable professional skill and care in the delivery of all services. However, we do not guarantee specific outcomes including but not limited to: follower growth targets, engagement rate improvements, revenue increases, or return on advertising investment.

To the maximum extent permitted by law, Innova Socials' total liability to the Client for any claim arising out of or in connection with our services shall not exceed the total fees paid by the Client in the three months immediately preceding the claim. We shall not be liable for indirect, consequential, or special damages of any kind.

We are not liable for disruptions, account suspensions, or policy changes imposed by third-party platforms (including Meta, Google, TikTok, and LinkedIn), which are outside our control.

10. Termination

Either party may terminate the retainer agreement by providing written notice in accordance with the minimum notice period specified in the service agreement (typically 30 days for Starter retainers, in line with the agreed tier terms). Notice must be provided in writing via email to [email protected].

Upon termination, any outstanding fees for services rendered up to the termination date remain payable in full. Innova Socials will provide the Client with access to all published content assets within 14 days of the termination date.

Innova Socials reserves the right to terminate the agreement immediately and without notice in the event of the Client's failure to pay overdue invoices, breach of these Terms, or conduct that is unlawful, harmful, or brings the Agency into disrepute.

11. Governing Law & Disputes

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to attempt to resolve disputes informally in the first instance. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Amendments

Innova Socials reserves the right to update these Terms at any time. Clients will be notified of material changes via email at least 14 days before they take effect. Continued engagement with our services following notification constitutes acceptance of the revised Terms.
