Payment terms, due dates, retainers, setup fees, and monthly fees are confirmed in writing before work starts. Late payments may delay delivery, support, access, or ongoing service. We reserve the right to pause work or suspend systems if invoices remain unpaid.
6. Client Responsibilities
To deliver our services effectively, you are responsible for:
- Providing accurate business information.
- Providing timely access to required tools, systems, or accounts.
- Approving content, designs, workflows, call scripts, forms, automations, and integrations promptly.
- Checking that systems meet legal, industry, and regulatory requirements for your specific sector.
- Responding to our requests in a reasonable time.
- Keeping all login credentials secure.
- Ensuring you have permission and licences to use any images, logos, customer lists, phone numbers, emails, and business content that you provide to us.
7. Project Timelines and Delays
All timelines are estimates unless confirmed otherwise in writing. Delivery depends heavily on client response times, the provision of access, content approvals, technical limitations, and the performance of third-party platforms.
Delays caused by you (the client) or by third-party platforms may affect launch dates. Innova Socials is not responsible for delays caused by platforms or circumstances outside of our control.
8. AI Voice, Automation, and Lead Handling Disclaimer
AI voice agents, chatbots, automations, booking systems, missed call text-back systems, and CRM workflows are designed to support your business operations. They do not replace professional human oversight.
You should test and approve scripts, workflows, responses, booking rules, forms, and escalation logic before they go live. AI systems may occasionally make mistakes or require updates. The client remains responsible for checking enquiries, bookings, complaints, customer communications, and business decisions.
Emergency, medical, legal, financial, or safety-critical advice should not be handled solely by automated systems unless properly reviewed and approved by your professional compliance process.
9. Third-Party Platforms
Our services often depend on third-party platforms, which may include, but are not limited to: GoHighLevel, Retell AI, Cal.com, Netlify, Google Business Profile, Google Local Services Ads, Meta platforms, email/SMS providers, analytics tools, payment processors, and various CRM or automation tools.
Innova Socials is not responsible for outages, pricing changes, bugs, restrictions, account suspensions, API changes, or policy updates implemented by third-party platforms. Some features depend directly on third-party approval, your account access, billing status, and platform rules.
10. Website Design and Development Terms
Website projects may include design, development, landing pages, copy formatting, SEO foundations, forms, integrations, and deployment support as agreed. You must review and approve website content prior to launch.
You are fully responsible for ensuring any claims, testimonials, images, service descriptions, and legal requirements on your website are accurate and compliant for your business. Due to differences in browsers and devices, minor visual variations may occur. Ongoing website updates or edits post-launch may require a separate maintenance plan unless otherwise agreed.
11. SEO, Ads, and Performance Disclaimer
Innova Socials may help improve your website structure, local SEO foundations, LSA response systems, reputation workflows, and conversion mechanisms.
However, no specific search ranking, lead volume, sales result, ad approval, or revenue increase is guaranteed. Performance heavily depends on market demand, your budget, local competition, reviews, offer quality, your own response times, platform rules, and the subjective quality of the services you provide to your customers.
12. Reputation Management and Reviews
Our reputation systems may help you request reviews, route customer feedback, and notify business owners. Clients must not use these systems to post fake reviews, mislead customers, unfairly suppress genuine feedback, or breach platform rules.
You remain responsible for how you respond to your customers and handle any complaints.
13. Intellectual Property
Innova Socials retains ownership of our own frameworks, systems, templates, designs, strategy documents, workflows, copy structures, code components, automation logic, and internal processes unless ownership is explicitly transferred in writing.
You retain ownership of your own logos, brand assets, images, business information, and any original content you provide to us. Final ownership and licensing of custom deliverables depends on the agreement terms and successful completion of payment.
The website content, graphics, copy, structure, and branding on innovasocials.co.uk cannot be copied or reproduced without our express permission.
14. Confidentiality
During our work, both sides may receive confidential business information. Innova Socials will take reasonable steps to keep your client information secure and confidential.
Confidential information will not be shared publicly unless required for delivery of services, required by law, or formally agreed for use (for example, in a case study).
15. Client Content and Permissions
By providing content to us, you confirm you have the legal right and permission to use it. This includes logos, photos, videos, testimonials, reviews, customer data, email lists, phone numbers, brand assets, and written copy.
Innova Socials is not responsible for copyright infringement or data protection issues caused directly by client-supplied content or lists.
16. Cancellations and Termination
Cancellation terms for projects, setup work, and retainers will be confirmed in your specific client agreement or invoice. Generally, setup fees are non-refundable once work has commenced.
Monthly managed services may require a written cancellation notice depending on your agreement. We reserve the right to terminate or pause services immediately for non-payment, misuse of systems, abusive behaviour, illegal activity, or any serious breach of these terms.
17. Refunds
Refund policies depend on the exact service, stage of work, and your written agreement. Custom digital work, setup work, strategy work, automation builds, design work, and development work are typically non-refundable once started.
Any specific refund or guarantee terms will be confirmed prior to purchase or during onboarding.
18. Limitation of Liability
Innova Socials aims to provide all services with reasonable care and skill. However, to the extent permitted by law, Innova Socials is not liable for indirect losses, lost profits, lost revenue, missed leads, platform outages, data loss caused by third parties, or business interruption.
Nothing in these terms excludes or limits liability that cannot legally be excluded under the laws of England and Wales.
